The Securities Commission Malaysia (SC) is seeking feedback on proposed reforms covering company secretaries, shareholder litigation, ownership structures and AI oversight.
The SC corporate governance proposals are set out in a new consultation paper that builds on its December discussion paper and feedback from stakeholders.
The proposals aim to strengthen accountability among governance gatekeepers, improve transparency among public listed companies, and support greater shareholder participation.
SC Governance Proposals Cover Shareholder Rights, AI Oversight
The SC plans to strengthen oversight of company secretaries through new requirements aimed at improving their professionalism and effectiveness in advising boards.
It is also seeking views on a shareholder litigation fund that would give shareholders financial and legal support to pursue valid claims in broader shareholder and market interests.
The consultation paper also sets out clearer governance expectations for public listed companies with concentrated ownership structures, including family-owned companies.
The SC is also proposing expectations for board oversight of technology, including disclosures on the use and governance of technology and AI.
The review is aligned with the Capital Market Masterplan 2026-2030, which positions market discipline as part of a strong corporate governance ecosystem.
